Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the ReviewSpark platform and website at https://reviewspark.online (the "Service"), operated by Exorous (trading as ReviewSpark) ("ReviewSpark", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ReviewSpark is a Google review automation platform for local businesses. The Service enables business owners to send automated review requests to customers via SMS and email, route negative feedback privately, generate AI-drafted replies to Google reviews, and view review analytics — all through a web-based dashboard.

2. Eligibility and Account Registration

  • You must be at least 18 years old to use the Service.
  • You must be a business owner, operator, or authorized representative of a business with a legitimate Google Business Profile.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to provide accurate, current, and complete information during registration and to keep it updated.

3. Acceptable Use

You agree to use the Service lawfully and in good faith. You must not:

  • Send review requests to individuals who are not your actual customers or who have not had a genuine transaction with your business
  • Use the Service to send unsolicited commercial messages (spam)
  • Use the Service to solicit, incentivize, or post fake or misleading reviews, in violation of Google's review policies or applicable consumer protection laws
  • Send SMS messages without obtaining the legally required consent from the recipient in their jurisdiction (including TCPA compliance in the United States)
  • Attempt to reverse engineer, scrape, or disrupt the Service
  • Use the Service in connection with any unlawful activity

We reserve the right to suspend or terminate accounts that violate these rules without notice.

4. Subscription Plans and Billing

4.1 Plans

The Service is offered on the following subscription tiers:

  • Free — Limited features at no cost
  • Pro — $19/month
  • Business — $49/month

4.2 Payment Processing via Paddle

All payments are processed by Paddle, who acts as Merchant of Record for ReviewSpark. When you subscribe to a paid plan, you are entering into a payment agreement with Paddle, subject to Paddle's Terms of Service. ReviewSpark does not store your payment card details.

4.3 Billing Cycle

Subscriptions are billed monthly on the anniversary of your subscription start date. Charges are made in advance for the upcoming billing period.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Your access to paid features continues until the end of the current billing period. We do not provide prorated refunds for partial billing periods.

4.5 Refunds

Refund requests are handled by Paddle in accordance with their refund policy. To request a refund, contact contact@reviewspark.online.

4.6 Price Changes

We reserve the right to change subscription prices. We will give at least 30 days' notice of any price change via email. Continued use of the Service after the notice period constitutes acceptance of the new pricing.

5. Google Integration

The Service connects to your Google Business Profile via Google OAuth. By authorizing this connection, you grant ReviewSpark permission to read your reviews and post reply drafts on your behalf.

  • ReviewSpark is an independent product and is not affiliated with, endorsed by, or sponsored by Google LLC.
  • You are solely responsible for ensuring your use of the Service complies with Google's review policies.
  • You may revoke ReviewSpark's Google access at any time via your Google Account permissions settings.

6. AI-Generated Content

ReviewSpark uses Google Gemini to generate draft replies to your Google reviews. You acknowledge that:

  • AI-generated drafts are suggestions only and may not always be accurate, appropriate, or compliant with Google's policies
  • You are solely responsible for reviewing, editing, and approving any reply before it is posted to Google
  • ReviewSpark makes no guarantee regarding the quality, accuracy, or outcome of AI-generated content

7. Your Data

You retain ownership of all data you upload or generate through the Service, including your customers' contact information and review data. By using the Service, you grant ReviewSpark a limited license to process this data solely to provide the Service to you.

Our use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

The ReviewSpark platform, including its software, design, trademarks, and content, is owned by Exorous (trading as ReviewSpark) and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

9. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or use the Service in a manner that could expose us to legal liability.

Upon termination, your access to the Service will cease. You may request an export of your data within 30 days of termination. After that period, we will delete your account data in accordance with our retention policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or achieve any particular result (such as a specific number of reviews or improvement in review ratings).

11. Limitation of Liability

To the maximum extent permitted by applicable law, Exorous (trading as ReviewSpark) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Exorous (trading as ReviewSpark), its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your use of the SMS or email features in a manner that violates applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bangladesh.

Before initiating any formal proceedings, you agree to attempt to resolve the dispute informally by contacting us at contact@reviewspark.online.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and notify you by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
